FrostOps Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FrostOps mobile application, web dashboard, and related services (collectively, the "Service") provided by Axiom Ops LLC ("Axiom Ops", "we", "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

FrostOps is a business-operations platform for food-and-beverage store owners, managers, and staff. Features include reporting, shift scheduling, task and checklist management, team chat, AI-assisted analysis ("Sage"), and — at the owner's option — ingestion of operational email reports. We may add, modify, or discontinue features over time.

2. Accounts and Eligibility

You must be at least 16 years old to use the Service, and at least the age of majority in your jurisdiction to enter a paid subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account. Notify us promptly at support@axiomops.ai of any unauthorized access.

Store owners who invite team members are responsible for ensuring those members are authorized to use the Service on behalf of the store and for the information about them entered into the Service.

3. Subscription, Billing, and Trials

The Service is offered on a subscription basis. Plan tiers, pricing, and billing cadence (monthly or annual) are described on our pricing page and may change with notice for future billing periods. Paid subscriptions renew automatically at the then-current rate until cancelled.

If we offer a free trial, you will not be charged during the trial period; at the end of the trial, your subscription will convert to a paid plan and your selected payment method will be charged unless you cancel before the trial ends.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide pro-rata refunds for partial periods except where required by law.

4. Your Data and Ownership

You retain all rights in the data you submit to the Service ("Customer Data"), including business information, schedules, tasks, chat messages, and any content ingested via the Gmail integration. You grant us a limited license to host, process, and display Customer Data solely to operate, support, and improve the Service for you, subject to our Privacy Policy.

Operational records associated with a store (e.g., historical sales reports, completed shifts) belong to that store's account. If you are an individual team member and leave a store, those records remain with the store.

5. Google API Services and Gmail Integration

If you connect a Gmail account to the Service, our use of information received from Google APIs adheres to Google's API Services User Data Policy, including the Limited Use requirements. The specific scope we request is https://www.googleapis.com/auth/gmail.readonly. Full details — including how to revoke access — are in Section 5 of our Privacy Policy.

6. AI Features

The Service includes AI-assisted features, including the in-app AI manager "Sage." AI outputs are generated by machine-learning models and may contain inaccuracies; you should review them before relying on them for business or legal decisions. You are responsible for the prompts you submit and for the use you make of AI outputs.

7. Acceptable Use

You agree not to: (a) use the Service in violation of any law; (b) attempt to gain unauthorized access to the Service, other accounts, or any related systems; (c) reverse engineer, decompile, or scrape the Service except to the extent expressly permitted by law; (d) upload malicious code or content that infringes intellectual-property rights; (e) use the Service to send unsolicited messages or harass others; or (f) resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted by us in writing.

8. Intellectual Property

The Service, including all software, designs, trademarks, and documentation, is owned by Axiom Ops LLC and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription. No other rights are granted by implication.

9. Suspension and Termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if your account becomes delinquent, or if your use creates a security or legal risk. We will give you reasonable notice and an opportunity to cure where practical.

You may delete your account at any time from your account settings. Upon termination, your right to use the Service ends; provisions that by their nature should survive (e.g., data ownership, disclaimers, limitation of liability) will survive.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular operational, legal, or financial decision.

11. Limitation of Liability

To the maximum extent permitted by law, Axiom Ops LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

12. Indemnification

You agree to indemnify and hold Axiom Ops LLC harmless from any third-party claims, damages, and expenses (including reasonable attorneys' fees) arising out of (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any third-party right.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section prevents either party from seeking equitable relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you in-app or by email and update the "Last updated" date above. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
